1. Acceptance of Terms

By accessing or using Proven.bot's services, including algorithmic trading strategies, indicators, and related software (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

2. Service Description

Proven.bot provides algorithmic trading strategies and indicators for use with third-party trading platforms, including but not limited to TradingView. The Service includes:

• Access to proprietary trading strategies
• TradingView indicators for manual or automated execution
• Performance data and backtesting results
• Educational materials and strategy documentation

3. Risk Disclosure and No Liability

3.1 Trading Risks

Trading futures, options, and other derivatives carries a high level of risk and may not be suitable for all investors. You may lose some or all of your invested capital. Before trading, you should carefully consider your investment objectives, level of experience, and risk appetite.

3.2 No Guarantees

Although our strategies have been rigorously tested over multiple years and thousands of trades, Proven.bot makes NO guarantees regarding:

• Future profitability or performance
• Absence of losses or drawdowns
• Consistency with historical backtest results
• Suitability for your specific trading goals

3.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROVEN.BOT AND ITS OWNERS, OPERATORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR:

• Any trading losses, whether direct, indirect, incidental, or consequential
• Loss of profits, revenue, or business opportunities
• Errors, interruptions, or failures in the Service
• Decisions made based on information provided by the Service
• Third-party platform failures, including but not limited to TradingView or prop firm platforms

3.4 Entertainment Purposes Only

The Service is provided for entertainment and educational purposes only. It is not financial advice, investment advice, or a recommendation to buy or sell any security or derivative. You acknowledge that any trading decisions you make are your own responsibility.

4. Subscription and Payment

4.1 Subscription Terms

Proven.bot offers subscription-based access to the Service:

• Free Trial: 30 days (credit card required for verification)
• Monthly Subscription: $99/month after trial period
• Billing occurs automatically on a monthly basis
• Cancellation Notice: 30 days written notice required to cancel subscription
• You may cancel at any time with proper notice

4.2 Cancellation Policy

You may cancel your subscription at any time. Upon cancellation:

• You will retain access until the end of your current billing period
• No refunds will be provided for partial months
• Your access to the Service will terminate at the end of the paid period

4.3 Refund Policy

Due to the nature of digital services and proprietary trading strategies, all sales are final. No refunds will be provided except as required by law.

5. User Responsibilities

5.1 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying Proven.bot immediately of any unauthorized use

5.2 Proper Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:

• Share, resell, or redistribute access to the Service
• Reverse engineer, decompile, or attempt to extract proprietary algorithms
• Use the Service in any manner that could damage or overburden our systems
• Violate any applicable laws or regulations

5.3 Third-Party Platforms

You acknowledge that:

• The Service requires a TradingView account (not provided by Proven.bot)
• You are responsible for complying with TradingView's terms of service
• Proven.bot is not responsible for TradingView platform issues or changes
• You must have appropriate prop firm or brokerage accounts to trade

6. Intellectual Property

All content, strategies, indicators, algorithms, and materials provided through the Service are the exclusive property of Proven.bot and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your personal trading purposes only.

7. Performance Data and Disclaimers

7.1 Hypothetical Performance

Backtesting results and historical performance data are hypothetical and have inherent limitations, including but not limited to:

• They do not represent actual trading and may not reflect actual market conditions
• They are designed with the benefit of hindsight
• They may not account for all transaction costs, slippage, or market impact
• Actual results may differ materially from backtested results

7.2 Forward-Looking Statements

Any projections, forecasts, or estimates provided are based on assumptions and are subject to significant uncertainties. Actual results may vary substantially from these estimates.

8. Modifications to Service and Terms

Proven.bot reserves the right to:

• Modify, suspend, or discontinue the Service at any time
• Update these Terms with or without notice
• Change subscription pricing with 30 days' notice to existing subscribers

Continued use of the Service after changes constitutes acceptance of the modified Terms.

9. Privacy

Your use of the Service is also governed by our Privacy Policy. We collect and use your information as described in our Privacy Policy, which is incorporated into these Terms by reference.

10. Waiver of Right to Sue

BY SUBSCRIBING TO PROVEN.BOT, YOU EXPRESSLY AGREE AND ACKNOWLEDGE THAT:

• You WAIVE ANY AND ALL RIGHTS to bring legal action, lawsuit, claim, or proceeding against Proven.bot, its owners, operators, employees, contractors, or affiliates
• You agree NOT TO SUE Proven.bot for any reason whatsoever, including but not limited to trading losses, system failures, errors in strategies, or any other damages
• This waiver applies to all claims, whether based in contract, tort, negligence, strict liability, or any other legal theory
• This waiver is ABSOLUTE AND UNCONDITIONAL and applies regardless of the amount or nature of any losses incurred
• You agree that your sole remedy for any dissatisfaction with the Service is to cancel your subscription

If you do not agree to this waiver, you must not subscribe to or use the Service.

11. Indemnification

You agree to indemnify, defend, and hold harmless Proven.bot and its affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your trading activities
• Your violation of these Terms
• Your violation of any third-party rights

12. Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Proven.bot operates, without regard to conflict of law principles.

12.2 Arbitration

Any disputes arising from these Terms or use of the Service shall be resolved through binding arbitration, except as otherwise required by law. By agreeing to arbitration, you waive your right to a jury trial.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Proven.bot regarding the Service and supersede all prior agreements and understandings.
